Terms of Service

1. Acceptance of Terms

By accessing and using EpicClaw (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

EpicClaw grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business operations. You may not:

• Resell or redistribute the Service
• Use the Service to compete with EpicClaw
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools (bots, scrapers) to access the Service
• Violate any laws or third-party rights
• Upload malware, viruses, or harmful code
• Harass, defame, or threaten other users

3. Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Providing accurate information during signup

We are not liable for any loss or damage if you fail to protect your password.

4. Payment Terms

By subscribing to a paid plan, you agree to:

• Pay the subscription fee for your chosen plan (Starter, Pro, or Business)
• Allow us to charge your payment method on the billing date each month/year
• Update your payment method if it becomes invalid
• Accept price changes with 30 days written notice

All fees are exclusive of applicable taxes. You are responsible for any taxes.

5. Subscription & Cancellation

Free Trial: 14 days of full access. No credit card required. Automatically cancels unless you upgrade.

Paid Plans: Renew automatically on each billing date. Cancel anytime in your account settings. Refunds are not provided for unused portions of a billing period.

6. Intellectual Property

EpicClaw owns all rights to the Service, including software, documentation, and content. You own the rights to your client data and any content you upload. By using the Service, you grant us a license to use your data to provide the Service (including AI processing for proposals, briefings, and follow-ups).

7. Service Modifications & Downtime

We may modify, suspend, or discontinue the Service (or any feature) at any time with 30 days notice. We are not liable for any loss resulting from maintenance, updates, or discontinuation. We aim for 99.5% uptime but do not guarantee uninterrupted service.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EPICCLAW SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Errors or inaccuracies in AI-generated content (proposals, follow-ups, briefings)
• Third-party actions (e.g., hacked client data)

Our total liability under these terms shall not exceed the amount you've paid us in the past 12 months.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that:

• The Service will be uninterrupted or error-free
• AI-generated content will be accurate or approved by your clients
• The Service will meet your business requirements

10. AI-Generated Content

EpicClaw uses AI to generate proposals, follow-up messages, and daily briefings. You acknowledge that:

• AI content is generated based on patterns, not human review
• You are responsible for reviewing AI-generated content before sending to clients
• EpicClaw is not liable for errors, inaccuracies, or client dissatisfaction with AI-generated content
• You must disclose to clients that content was AI-assisted if required by law

11. Indemnification

You agree to indemnify and hold harmless EpicClaw from any claims, damages, or expenses (including attorney fees) arising from:

• Your violation of these terms
• Your use of the Service
• Your client data or business practices
• Claims by third parties related to your account

12. Termination

We may terminate your account if you:

• Violate these terms
• Fail to pay for your subscription
• Engage in illegal or harmful activity

Upon termination, we will delete your data within 30 days. You may request an export of your data before deletion.

13. Data Breaches

If we discover a security breach, we will:

• Notify affected users within 72 hours (as required by law)
• Provide details of the breach and steps we're taking to fix it
• Offer free identity protection services if personal data was exposed

14. Dispute Resolution

Any disputes arising from this agreement shall be resolved through binding arbitration in San Francisco, California (update location as needed). You waive your right to a jury trial and class action suit. Arbitration costs shall be split equally unless one party is found to have acted in bad faith.

15. Changes to These Terms

We may update these terms at any time. If we make material changes, we'll notify you via email. Your continued use of the Service constitutes acceptance of updated terms.

16. Governing Law

These terms are governed by the laws of California, without regard to conflicts of law principles.
